Ahold Delhaize (OTCQX: ADRNY) has finalized its acquisition of Profi Rom Food SRL, a prominent Romanian grocery retailer, from MidEuropa for approximately €1.3 billion in enterprise value. This strategic move effectively doubles Ahold Delhaize’s retail footprint in Romania, where it operates nearly 1,000 stores under the Mega Image brand. The integration of Profi, which boasts around 1,700 supermarkets and convenience stores, is expected to enhance the company’s ability to serve customers across both urban and rural areas.
The acquisition is poised to create significant synergies between the Profi and Mega Image brands. Both retailers have complementary strengths that will enable them to offer an expanded product range and improved value to customers. Ahold Delhaize’s President and CEO, Frans Muller, emphasized the importance of this acquisition in reinforcing the company’s commitment to delivering high-quality products and services in Romania. Profi is recognized as a leading traditional grocery retailer in Romania, known for its strong assortment and competitive pricing. In the twelve months ending June 2024, Profi generated approximately €2.7 billion in net sales. The acquisition not only enhances Ahold Delhaize’s market presence but also positions it to capitalize on Romania’s growing consumer base and increasing spending power.
Gaetan Pacton, CEO of Profi, expressed pride in joining Ahold Delhaize, stating that the success of Profi is a result of the hard work and vision of its entire team. He emphasized that this partnership will allow Profi to leverage Ahold Delhaize’s extensive resources and expertise.
The acquisition is expected to contribute around €3 billion in net sales to Ahold Delhaize’s financial results in 2025. It is projected to have a neutral impact on the company’s diluted underlying earnings per share for that year. Ahold Delhaize’s has announced that their 2025 outlook regarding the financial implications of this transaction will be disclosed at a presentation on February 12th.
The transaction received approval from the Romanian Competition Council (RCC), which included conditions related to supplier relationships and required divestment of 87 stores to ensure compliance with local regulations.
