VitalHub Corp. (TSX: VHI, OTCQX: VHIBF) has closed its acquisition of Induction Healthcare Group PLC, a move that brings two of the UK’s better-known digital health solutions, Zesty and Attend Anywhere, under the Canadian company’s umbrella. The deal, completed by way of a court-sanctioned scheme of arrangement, is the latest in VitalHub’s ongoing effort to build a comprehensive suite of healthcare technology for hospitals and care providers across several continents.
VitalHub paid $13 million (£9.7 million) to acquire Induction. The transaction was all-cash, with Induction shareholders receiving $0.13 (£0.10) per share. Induction’s most recent financials, covering the six months ending September 30, 2024, show revenues of $7.25 million (£5.4 million), a gross margin of 78.2 percent, and an adjusted EBITDA loss of $1.21 million (£0.9 million).
Induction’s product suite is designed to improve the patient experience and streamline communication between patients and care teams. Zesty is a patient engagement platform that helps hospitals modernize how they interact with patients, while Attend Anywhere enables healthcare organizations to offer secure video consultations as part of their daily operations.1
Both products have gained traction in the UK’s National Health Service and other healthcare systems, making them attractive additions to VitalHub’s portfolio. The acquisition gives VitalHub a stronger presence in the UK and expands its offerings in patient engagement and virtual care, two areas that have become increasingly important in the post-pandemic healthcare landscape.
VitalHub, based in Toronto, is focused on providing software solutions for health and human services providers worldwide. Its product suite spans electronic health records, operational intelligence, and workforce automation, serving more than 1,000 clients across the UK, Canada, and other markets. The company employs over 500 people globally, including a development hub in Sri Lanka.
Growth at VitalHub is driven by a mix of organic expansion and acquisitions, with the Induction deal fitting squarely into its strategy of building a broad, integrated set of digital health tools. CEO Dan Matlow said the addition of Induction’s products, especially Zesty, complements VitalHub’s existing solutions and will help improve the experience for both healthcare partners and patients.
The acquisition comes at a time when hospitals and health systems are investing heavily in digital transformation. Patient engagement platforms and virtual care solutions have moved from nice-to-have to essential, as healthcare providers look for ways to improve efficiency and outcomes while meeting rising patient expectations.
By bringing Induction’s technology in-house, VitalHub is aiming to offer a more complete set of tools for hospitals and care providers, particularly in the UK market, where both Zesty and Attend Anywhere already have a strong foothold.
With the Induction acquisition complete, VitalHub is set to deepen its relationships with healthcare clients in the UK and beyond. The company’s approach of combining organic growth with targeted acquisitions appears to be paying off, giving it a diverse portfolio and a growing international footprint.
